Shell eyes aggressive growth in cashflow, output (Reuters)

LONDON (Reuters) ? Royal Dutch Shell (RDSa.L) said it was targeting aggressive growth in the coming years, with the startup of big new projects and higher investments in exploration set to drive a 50 percent rise in cashflow and a 25 percent rise in oil and gas production.

The bullish outlook came as Europe's largest oil company by market capitalization unveiled weaker-than-forecast fourth quarter profits, after dismal industry-wide refining margins sent the crude processing division into a loss.

The company also announced a weaker rise in its dividend than some analysts expected, adding just 1 cent to its first quarter dividend for 2012, to $0.43 per share.

Hague-based Shell said it was eyeing a return to strong production growth in the coming years, after nearly a decade. Apart from a 5 percent rise in 2010, the group's production has fallen every year since 2002.

"Oil & gas production should average some 4 million boe/d (barrels of oil equivalent per day) in 2017-18," the company said in a statement.

Production averaged 3.215 million boe/d in 2011, a 3 percent drop on 2010.

However, a big rise in crude prices outweighed this drop, and weak refining profits. Net profits for 2011 were $24.69 billion, up 37 percent on the year.

The company said its fourth quarter current cost of supply (CCS) net income was $6.46 billion, helped by one-off gains from the sale of assets.

Excluding one-offs, the result rose 18 percent to $4.85 billion, shy of an average forecast of $5.17 billion from a Reuters poll of nine analysts.

Brent crude prices averaged $109 per barrel last quarter, up from $88 a year before.

CCS earnings strip out unrealized gains or losses related to changes in the value of inventories, and as such are comparable with net income under U.S. accounting rules.

SEC advisory panel concerned about crowdfunding (Reuters)

WASHINGTON, DC (Reuters) ? An advisory committee urged U.S. securities regulators on Wednesday to relax outdated rules that trigger public financial reporting for companies, but it stopped short of backing a new capital-raising strategy known as "crowdfunding."

In a public meeting, members of the Advisory Committee on Small and Emerging Companies voted on two proposed regulatory changes for the Securities and Exchange Commission to consider that would help private companies raise capital.

However, they raised concerns with crowdfunding, a new capital-raising strategy that lets investors take small stakes in private start-ups over the Internet, even though the idea has received some support from President Barack Obama and Congress.

The panel said it needed more time to study the issue to ensure it does not lead to investment scams.

"This is just an opportunity for fraud in the extreme," said committee co-chair Stephen Graham, who advises on securities offerings as co-chair of Fenwick & West's Life Sciences Practice.

"You can just imagine the unsophisticated investor that is just bombarded on the Internet."

Since last year, the SEC has been conducting a broad review of outdated securities regulations that have not kept pace with the evolution of social media sites such as LinkedIn and Facebook, and with the structure of fast-growing startups.

To assist with the process, the agency announced last year it would establish the small business advisory committee to help determine the best course of action.

Obama has also unveiled a proposed legislative agenda outlining several initiatives to help small businesses raise capital, including crowdfunding.

The U.S. House of Representatives has passed a series of measures that would address many of the areas outlined in the President's plan. Those measures, however, have yet to face a vote in the U.S. Senate.

Despite concerns about crowdfunding, the majority of the panel did agree on two separate plans that would ease the rules for public financial reporting and for mini-offerings known as "Regulation A."

One proposal would raise the number of shareholders of record that trigger a company having to file public financial documents, from 500 under the current regulations to 1,000 for most companies.

Stock-holding employees would be excluded from the tally as long as they are not trading, and community banks would be subject to an even higher reporting threshold of 2,000.

The committee suggested that the SEC put interim rules in place to provide immediate relief for companies, and then launch a study to ensure the new thresholds are appropriate.

The panel also backed a similar proposal to Obama's on the SEC's Regulation A exemption, which is meant to help smaller companies avoid filing costly and time-consuming paperwork associated with SEC registration for public offerings.

Because the offering amount under Regulation A is only $5 million, the benefits of the exemptive relief are underutilized.

The panel recommended raising the threshold for Regulation A to $50 million from $5 million.

Suspect in Utah school bomb plot charged (AP)

SALT LAKE CITY ? Authorities on Tuesday charged a 16-year-old boy with a felony in what they say was a plot to detonate a bomb at a Utah high school.

The teenager, along with Dallin Morgan, 18, had planned for months to bomb an assembly at Roy High School, about 30 miles north of Salt Lake City, then steal a plane from a nearby airport and flee the country, police said.

Both were arrested last week. Morgan has been charged with possession of a weapon of mass destruction.

Prosecutors on Tuesday charged the 16-year-old with the same count in juvenile court, but have filed a motion seeking to try him as an adult.

"The defendant's emotional attitude, pattern of living, environment and home life demonstrate that he has sufficient maturity to appreciate the seriousness of these charges and to be tried as an adult," prosecutors wrote in the motion filed Tuesday in Ogden's 2nd District Court.

The Associated Press isn't naming the suspect because he is a minor.

Police say the plot was foiled when another student came forward after receiving ominous text messages from one of the suspects hinting at their plan.

"If I tell you one day not to go to school, make damn sure you and your brother are not there," one message read, according to court records. "We ain't gonna crash it, we're just gonna kill and fly our way to a country that won't send us back to the U.S.," read another message.

Police said the two teens had a detailed plot, blueprints of the school and security systems, but investigators have so far found no explosives in multiple searches. Authorities have also said the suspects spent hundreds of hours training on a home computer flight simulator and studying manuals to prepare to steal a plane after the bombing.

While police don't have a motive, one text message to the fellow student noted they sought "revenge on the world."
